  • Agreement among rivals
  • Concerning price

    • Agreements that concern merely a component of price (e.g. Catalano Inc. v. Target Sales, Inc. (1980) at 115 – beer wholesaler case)
No defenses:

  • Prices are reasonable
  • Competition would be harmful
  • No anti-competitive effect
  • Justified agreement
